Terms of Service

Effective Date: November 7, 2025

1. Agreement to Terms

By accessing or using the services of Deseret Code Studios ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access our services.

2. Services Provided

Deseret Code Studios provides:

  • Mobile application development (iOS and Android)
  • Web application development
  • Software consulting services
  • UI/UX design services
  • Software maintenance and support

3. Client Projects

3.1 Project Scope

Each client project will be governed by a separate project agreement that outlines specific deliverables, timelines, and costs. These project agreements supplement but do not replace these Terms.

3.2 Client Responsibilities

  • Provide timely feedback and approvals
  • Supply necessary content, materials, and access
  • Make payments according to agreed schedules
  • Communicate project requirements clearly

4. Intellectual Property

4.1 Client Projects

Upon full payment, clients receive ownership of the custom code and designs created specifically for their project. We retain the right to use general methodologies, techniques, and non-proprietary code in future projects.

4.2 Our Proprietary Work

All pre-existing intellectual property, frameworks, libraries, and tools developed by Deseret Code Studios remain our property unless explicitly transferred in writing.

4.3 Portfolio Rights

We reserve the right to showcase completed projects in our portfolio unless otherwise agreed in writing.

5. Payment Terms

  • Payment schedules will be outlined in project agreements
  • Late payments may incur interest charges
  • Work may be suspended for overdue accounts
  • All fees are in US dollars unless otherwise specified
  • Taxes are the responsibility of the client where applicable

6. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner. However, we provide our services "AS IS" and make no warranties regarding:

  • Uninterrupted or error-free operation
  • Compatibility with all systems or devices
  • Results from use of the services
  • Third-party services or integrations

7. Limitation of Liability

To the maximum extent permitted by law, Deseret Code Studios shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the amount paid by the client for the specific service giving rise to the claim.

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information shared during the course of the business relationship. This obligation survives termination of services.

9. Indemnification

You agree to indemnify and hold harmless Deseret Code Studios from any claims, damages, or expenses arising from your use of our services or violation of these Terms.

10. Termination

Either party may terminate services according to the terms specified in individual project agreements. Upon termination, all outstanding payments become immediately due.

11. Dispute Resolution

Any disputes shall be resolved through good faith negotiation. If unsuccessful, disputes shall be settled through binding arbitration in Utah County, Utah, under the rules of the American Arbitration Association.

12. Governing Law

These Terms shall be governed by the laws of the State of Utah, United States, without regard to conflict of law provisions.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services constitutes acceptance of revised Terms.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with any project agreements, constitute the entire agreement between you and Deseret Code Studios regarding our services.
